Vendor Agreement

This Vendor Agreement governs the relationship between TEETECH LIMITED (RC 9838377) ("Cirkle", "we", "us", "our") and any individual or business ("Vendor", "you", "your") who applies for or holds a vendor position at an event listed on Cirkle.

By submitting a vendor application you agree to this Agreement, together with our Terms and Conditions, Privacy Policy, and Marketplace Policy.

This Agreement is separate from the terms set by each event organiser. Organisers publish their own vendor terms for their own events, covering matters such as set up times, stall rules, promotional obligations, and their own refund position. You accept those terms separately when you apply and again when you pay. Where an organiser's terms conflict with this Agreement in relation to their event, the organiser's terms govern the operation of that event, and this Agreement governs your relationship with Cirkle.

1. An organiser publishes an event with stalls or vendor packages, and creates an application form.
2. You apply, answering the organiser's questions and accepting the organiser's vendor terms.
3. The organiser reviews and either approves or rejects your application. Approval is entirely at the organiser's discretion.
4. If approved, you have a limited period, currently 72 hours, to complete payment. If you do not pay within that period, the reservation may lapse and the space may be released to someone else.
5. Once approved and paid, entry passes are issued to you, and you may be given access to any vendor group chat the organiser has set up for that event.

You pay the organiser for space, through the Platform. Cirkle's fee is added to the price the organiser has listed, and is shown to you before you pay. The organiser receives the listed price in full. Cirkle does not currently pay money out to vendors.

To apply as a Vendor you must:

• Be at least 18 years old
• Provide accurate registration and application information
• Operate a lawful business and supply lawful goods or services
• Hold any licence, permit, or certification your business requires, including food handling and safety requirements where applicable
• Comply with all applicable laws and with the rules of the event and venue

When applying you provide your business name, WhatsApp number, and answers to the questions the organiser has set. You may also add a business logo, category, and social media links to your vendor profile.

Your application answers and contact details are shared with the organiser of that event so they can assess your application and contact you.

Cirkle does not currently require government identification or company registration documents from vendors. If we introduce identity or business verification in future, we will notify vendors and update this Agreement and our Privacy Policy before doing so.

Providing false or misleading information may result in rejection, removal from an event, or termination of your account.

As a Vendor you agree to:

• Sell only what you described in your application, within the category you were approved for
• Deliver goods and services honestly, safely, and as advertised
• Comply with the organiser's event terms, including set up times, stall rules, and safety requirements
• Comply with venue rules and the lawful instructions of event staff
• Respond to organiser communications promptly
• Treat customers, organisers, other vendors, and event staff with respect
• Take responsibility for your own equipment, stock, staff, insurance, and tax obligations
• Keep your listings and profile information accurate

You are solely responsible for the goods and services you supply. Cirkle is not the seller and does not inspect, endorse, or guarantee any vendor's goods or services.

Where your stall or vendor package includes entry passes, those passes are issued digitally and are personal to your business for that event. Some packages include additional passes, for example for an assistant. The number is shown at purchase.

You must not duplicate, sell, or transfer passes outside the terms of the event. Passes are scanned at the gate and a used pass cannot be reused unless the organiser has enabled re-entry.

An organiser may remove you from their event, including after payment, where you breach their terms or the rules of the Platform. When this happens your entry passes for that event are revoked.

Any question of a refund in these circumstances is between you and the organiser, and is governed by the organiser's published terms, which commonly state that stall fees are non-refundable. See the Refund and Cancellation Policy.

Cirkle provides optional tools for you to record your products, stock levels, and sales at events. This information is private to your vendor account and is not shared with organisers or other users. You are responsible for the accuracy of what you record. These tools are provided for your convenience and are not an accounting, tax, or point of sale system of record.

At present, Vendors pay the stall or vendor package price set by the organiser, plus Cirkle's fee. That fee is added to the listed price rather than deducted from it, so the organiser receives the listed price in full. The standard rate is 5 percent. The fee and the resulting total are shown to you before you pay.

Cirkle does not currently charge vendors a subscription fee. We may introduce vendor subscriptions or other vendor facing charges in future, for example if we launch vendor storefronts or marketplace listings. Any such charges, their pricing, and their terms will be communicated clearly before they take effect, and you will be able to decline them.

You keep ownership of the content you upload, including your logo, photos, and business description.

By uploading content, you grant Cirkle a non-exclusive, worldwide, royalty free licence to host, display, and reproduce it for operating and promoting the Platform and the events you are approved for. Where you are an approved and paid vendor, your business name, logo, and social links may be shown publicly on that event's page.

You confirm you own the content or have permission to use it.

You must not:

• Sell illegal, counterfeit, stolen, or prohibited goods or services, as set out in the Marketplace Policy
• Sell outside your approved category where the organiser restricts categories
• Provide false information about yourself, your business, or your goods
• Share, sublet, or resell your allocated space unless the organiser permits it
• Take payment outside the Platform in order to avoid fees, where the Platform requires the transaction to run through it
• Harass, threaten, or discriminate against any person
• Infringe anyone's intellectual property
• Manipulate or attempt to manipulate any rating or feedback system we may introduce

Cirkle does not currently operate a public vendor review or rating system. We may introduce one in future. If we do, we will publish rules covering how ratings are collected and displayed, how vendors may respond, and how manipulation will be handled, and this Agreement will be updated before the system goes live.

Cirkle may suspend or terminate your vendor access where you breach this Agreement or our other policies, provide false information, engage in fraud or unlawful conduct, or where necessary to protect users or the integrity of the Platform. Where appropriate and lawful we will explain why and give you a chance to respond.

Separately, individual organisers may reject or remove you from their own events at their discretion.

Nothing here transfers any of Cirkle's trademarks, branding, or software to you. You may not use Cirkle branding except as we expressly permit.

Cirkle provides the Platform "as is". We do not guarantee attendance numbers, sales, foot traffic, customer demand, or business results, and we are not responsible for the conduct of organisers, attendees, or other vendors.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for loss of profit or anticipated savings. Our total aggregate liability to you is limited as set out in the Terms and Conditions.

Nothing in this Agreement limits liability that cannot be limited under Nigerian law.

You agree to indemnify Cirkle and its directors, employees, and partners against claims, losses, liabilities, and reasonable costs arising from the goods or services you supply, your conduct at events, your content, your breach of this Agreement, or your breach of applicable law.

We may update this Agreement. Where changes are material we will give reasonable notice before they take effect. Continuing to apply for or hold vendor positions after that date means you accept the updated Agreement.

This Agreement is governed by the laws of the Federal Republic of Nigeria.
